Terms and Conditions of KQ5 GmbH
§ 1 Scope
1.1 These General Terms and Conditions ("GTC") apply to all contracts concluded between KQ5 GmbH ("KQ5") and its customers for the provision of digital solutions in the field of medical education, including a digital compendium of anesthesia and intensive care medicine, as well as graphics sold via subscription models and one-time payments on the website.
1.2 The customer's terms and conditions shall only apply if KQ5 has expressly agreed to them in writing.
§ 2 Conclusion of Contract
2.1 The presentation of products and services on the KQ5 website does not constitute a binding offer to conclude a contract.
2.2 By placing an order on the KQ5 website, the customer makes a binding offer to conclude a contract for the products and services selected.
2.3 KQ5 may accept the customer's offer within five days by sending an order confirmation by email. The contract is concluded upon receipt of this confirmation by the customer.
2.4. Terms of Service:
These Terms govern your access to and use of the services provided by KQ5. By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our website and services.

§ 3 Prices and Payment
3.1 The prices listed on the KQ5 website at the time of the order shall apply.
3.2 Payments can be made via our payment provider paddle.com
3.3 If the customer is in default of payment, KQ5 is entitled to charge default interest at a rate of 5 percentage points above the base interest rate.
§ 4 Delivery and Performance
4.1 Delivery of digital products is carried out exclusively via access to the KQ5 website.
4.2 KQ5 will use its best efforts to ensure that the products and services are available and fully functional. However, KQ5 does not guarantee uninterrupted availability and reserves the right to temporarily suspend access to its website for technical or other reasons.
§ 5 Warranty and Liability

6.1 KQ5 collects and uses the customer's personal data exclusively within the scope of the legal provisions and KQ5's privacy policy.
6.2 The customer consents to KQ5 storing and using his personal data to fulfill the contractual relationship with the customer and to inform the customer about products and services offered by KQ5.
6.3 The customer has the right to obtain information about his personal data stored by KQ5 at any time and to demand their correction, deletion or blocking.
§ 7 Final Provisions
7.1 The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods.
7.2 The place of performance and jurisdiction for all disputes arising from or in connection with the contract between KQ5 and the customer is the registered office of KQ5.
7.3 Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall not be affected thereby. The parties shall in such case agree on a new provision that comes as close as possible to the invalid provision.

Allgemeine Geschäftsbedingungen für das Unternehmen "KQ5 GmbH"
§ 1 Geltungsbereich und Vertragsabschluss
1.1 Die nachfolgenden Allgemeinen Geschäftsbedingungen (AGB) gelten für sämtliche Verträge zwischen der KQ5 GmbH (nachfolgend "KQ5" genannt) und dem Kunden über den Verkauf von digitalen Lösungen im Bereich der medizinischen Bildung, insbesondere dem digitalen Kompendium der Anästhesie und Intensivmedizin sowie Grafiken und Illustrationen.
1.2 Die AGB gelten ausschließlich. Abweichende, entgegenstehende oder ergänzende Bedingungen des Kunden werden nur dann und insoweit Vertragsbestandteil, als KQ5 ihrer Geltung ausdrücklich schriftlich zugestimmt hat.
1.3 Der Vertrag kommt zustande, wenn der Kunde die Bestellung auf der Webseite von KQ5 abschließt oder wenn KQ5 eine Bestellung des Kunden schriftlich bestätigt.
§ 2 Leistungsbeschreibung und Preise
2.1 KQ5 bietet digitale Lösungen im Bereich der medizinischen Bildung an, darunter ein digitales Kompendium der Anästhesie und Intensivmedizin sowie Grafiken und Illustrationen.
2.2 Die genauen aktuellen Kosten für die Produkte von KQ5 finden sich auf der Webseite unter der Rubrik "Preise und Abomodelle".
2.3 KQ5 behält sich das Recht vor, die Preise jederzeit ohne Vorankündigung zu ändern.
2.4 Bei Verletzung des Urheberrechts werden automatisch EUR 50.000,- pro Bild/Grafik verrechnet.
§ 3 Zahlungsbedingungen
3.1 KQ5 akzeptiert Zahlungen mittels des Zahlungsabwicklers paddle.com.
3.2 Die Zahlung mittels eines Abonnements. Im Fall eines Abonnements wird der Kunde regelmäßig belastet, bis das Abonnement vom Kunden gekündigt wird.
3.3 Im Fall einer Zahlungsverzögerung gerät der Kunde automatisch in Verzug. KQ5 behält sich das Recht vor, Verzugszinsen in Höhe von 5 Prozentpunkten über dem jeweiligen Basiszinssatz zu berechnen.
§ 4 Nutzungsrechte
4.1 Der Kunde erhält ein nicht ausschließliches, nicht übertragbares Nutzungsrecht an den digitalen Lösungen von KQ5 im Rahmen des bestimmungsgemäßen Gebrauchs.
4.2 Der Kunde darf die digitalen Lösungen von KQ5 nur für den eigenen Gebrauch nutzen. Eine Weitergabe an Dritte ist nicht gestattet.
§ 5 Haftung
5.1 Haftungsausschluss für Behandlungsfehler resultierend aus den Grafiken:
Die auf dieser Website dargestellten Grafiken und Diagramme dienen ausschließlich der Veranschaulichung und sollen das Verständnis für medizinische Sachverhalte erleichtern. 6.3 Der Kunde hat das Recht, jederzeit Auskunft über seine bei KQ5 gespeicherten personenbezogenen Daten zu erhalten und deren Berichtigung, Löschung oder Sperrung zu verlangen.
§ 7 Schlussbestimmungen
7.1 Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
7.2 Erfüllungsort und Gerichtsstand für alle Streitigkeiten aus oder im Zusammenhang mit dem Vertrag zwischen KQ5 und dem Kunden ist der Sitz von KQ5.
7.3 Sollte eine Bestimmung dieser AGB unwirksam sein oder werden, so wird die Wirksamkeit der übrigen Bestimmungen davon nicht berührt. Die Parteien werden in einem solchen Fall eine neue Regelung treffen, die der unwirksamen Bestimmung möglichst nahekommt.
